  • LOSS OF PROFITS, REVENUE, OR ANTICIPATED SAVINGS;
  • LOSS OF BUSINESS OR BUSINESS OPPORTUNITIES;
  • LOSS OF GOODWILL OR REPUTATION;
  • LOSS OF DATA OR INFORMATION;
  • PERSONAL INJURY OR PROPERTY DAMAGE ARISING FROM YOUR USE OF THE SERVICES, EXCEPT WHERE SUCH LIABILITY ARISES FROM OUR GROSS NEGLIGENCE OR WILLFUL MISCONDUCT;

IN ANY CASE, DIONS'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THESE TERMS OR THE SERVICES, WHETHER IN CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE, SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO DIONS IN THE SIX (6) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100.00).

THESE LIMITATIONS APPLY WHETHER THE CLAIM IS BASED ON WARRANTY, CONTRACT, TORT, STATUTORY LIABILITY, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT DIONS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

SOME STATES DO NOT ALLOW THE LIMITATION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU IN THOSE JURISDICTIONS. IN SUCH CASES, DIONS'S LIABILITY SHALL BE LIMITED TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW.


10. Indemnification

You agree to defend, indemnify, and hold harmless Dions and its officers, directors, members, employees, agents, contractors, licensors, service providers, successors, and assigns from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees and litigation costs) arising out of or relating to:

  • Your access to or use of the Site or Services;
  • Your violation of these Terms;
  • Your violation of any applicable federal, state, or local law or regulation;
  • Your violation of any third-party right, including without limitation any intellectual property right, privacy right, or contractual right;

13. Dispute Resolution

The parties agree to attempt to resolve the dispute informally for a period of thirty (30) days from the date of receipt of the written notice. 13.2 Binding Arbitration

EXCEPT FOR DISPUTES THAT QUALIFY FOR SMALL CLAIMS COURT AND EXCEPT AS OTHERWISE PROVIDED IN THIS SECTION, ANY DISPUTE, CLAIM, OR CONTROVERSY ARISING OUT OF OR RELATING TO THESE TERMS OR THE BREACH, TERMINATION, ENFORCEMENT, INTERPRETATION, OR VALIDITY THEREOF, OR TO THE USE OF THE SERVICES, SHALL BE SETTLED BY BINDING ARBITRATION ADMINISTERED BY THE AMERICAN ARBITRATION ASSOCIATION ("AAA") IN ACCORDANCE WITH ITS CONSUMER ARBITRATION RULES, WHICH ARE HEREBY INCORPORATED BY REFERENCE. THE DECISION OF THE ARBITRATOR SHALL BE FINAL AND BINDING AND MAY BE ENTERED AS A JUDGMENT IN ANY COURT OF COMPETENT JURISDICTION.

The arbitration shall be conducted in English, and the seat of arbitration shall be in the United States. The arbitrator shall apply the governing law specified in Section 12 of these Terms. The arbitrator shall have authority to award any remedy that would otherwise be available in a court of law.

13.3 Class Action Waiver

YOU AND DIONS AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS ACTION, CLASS ARBITRATION, OR REPRESENTATIVE PROCEEDING. UNLESS BOTH PARTIES AGREE OTHERWISE, THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS AND MAY NOT OTHERWISE PRESIDE OVER ANY FORM OF A REPRESENTATIVE OR CLASS PROCEEDING.

13.4 Exceptions

Notwithstanding the foregoing, either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights, confidential information, or other proprietary rights, pending final resolution by arbitration.


14. Term and Termination
